Terms of Service
The legal terms and operational framework governing your use of the OrdersPilot platform, services, and APIs.
1. Acceptance of Terms & Eligibility
This Terms of Service agreement ("Agreement") is a legally binding contract between OrdersPilot ("OrdersPilot", "we", "us", or "our"), India, and the entity or individual subscribing to or accessing the OrdersPilot Shopify App and platform services ("Merchant", "you", or "your").
By installing OrdersPilot from the Shopify App Store, registering an account, or accessing our services, you confirm that you have read, understood, and agreed to be bound by this Agreement. If you are accepting on behalf of a corporate entity, you represent and warrant that you have full legal authority to bind that entity.
2. Scope of Services
OrdersPilot grants you a non-exclusive, non-transferable, revocable license to access and use our software-as-a-service (SaaS) platform for your internal D2C e-commerce operations, specifically including:
- COD Verification Engine: Automated WhatsApp order confirmation message flows, status tracking, and order approval/cancellation workflows.
- Calling Team Operating System: Staff queue management, agent performance scorecards, click-to-call integration hooks, and call outcome tracking.
- Multi-Store Inventory Sync: Real-time cross-store stock level synchronization across 2+ connected Shopify storefronts.
- Courier Intelligence & Label Printing: Pincode serviceability checks, multi-carrier API routing (Delhivery, Shiprocket, DTDC, Bluedart), and automated AWB shipping label generation.
- Operations Analytics: Unit economics calculation, RTO trend analysis, and contribution margin reporting.
3. Account Responsibilities & API Security
- Account Confidentiality: Merchant is solely responsible for safeguarding all administrative credentials, API access tokens, and staff login permissions.
- Authorized Access: You agree not to share administrative credentials or permit unauthorized third parties to access your portal.
- Notification of Breach: You must immediately notify OrdersPilot at orderspilot@gmail.com upon suspecting any security breach or unauthorized access to your account.
4. Acceptable Use & Anti-Spam Rules
OrdersPilot maintains strict standards for automated customer communications and platform integrity:
- WhatsApp Policy Compliance: You warrant that all WhatsApp messages triggered via OrdersPilot comply with Meta's WhatsApp Business Terms and Messaging Policies. Unsolicited spam, bulk promotional broadcasts without explicit consent, or deceptive messaging are strictly prohibited.
- Telecom Compliance (India): Calling team workflows must comply with Telecom Regulatory Authority of India (TRAI) regulations, Do-Not-Disturb (DND) guidelines, and permissible calling hours.
- System Integrity: You shall not reverse engineer, decompile, crawl, or attempt to extract source code from OrdersPilot. Any intentional attempt to bypass rate limits or compromise server infrastructure will result in immediate termination.
5. Data Processing Agreement (DPA)
To the extent OrdersPilot processes personal data of your end-customers on your behalf under India's DPDP Act 2023/2026 or applicable international data privacy laws:
- Merchant warrants that it has provided all necessary notices and obtained lawful consent or legal authorization from end-customers to process their data, send confirmation messages, and share details with courier carriers.
- OrdersPilot processes end-customer personal data strictly in accordance with Merchant's documented instructions as configured through the platform.
- Detailed terms regarding data security, sub-processors, and deletion schedules are incorporated in our Privacy Policy.
6. Subscription Billing & Taxes
Shopify Billing API:Subscriptions are billed on a recurring monthly or annual basis via Shopify's official billing system or direct approved payment gateways.
Taxes & GST: Fees are exclusive of applicable taxes. For Indian merchants, Goods and Services Tax (GST @ 18% where applicable) will be added to invoiced fees.
Non-Payment: Failure to settle subscription charges within 14 days of due date may result in suspension of API sync key and messaging features.
7. Service SLA & Limitation of Liability
While OrdersPilot strives for 99.9% uptime for core inventory sync and webhook handlers:
- Third-Party Dependencies: We are not liable for service interruptions caused by third-party outages, including Shopify platform downtime, Meta WhatsApp API downtime, or courier gateway failures.
- Limitation of Consequential Damages: To the maximum extent permitted by law, OrdersPilot shall not be liable for indirect, punitive, special, or consequential damages, including loss of profits, lost revenue, or RTO variances.
- Liability Cap: OrdersPilot's total aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by Merchant to OrdersPilot in the three (3) months preceding the incident.
8. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
Exclusive Jurisdiction: Courts located in Gujarat, India shall have sole and exclusive jurisdiction over any legal proceedings arising out of this Agreement.
